Terms & Conditions of Consulting & Coaching Services

1. Scope of Services
I, Laszlo Szabo (“I”, “me”, “my”), provide professional consulting, coaching, training, and advisory services related to leadership, strategy, project management, change management, and organizational development (“Services”).
The Services are designed to support reflection, learning, and development. They do not constitute legal, financial, medical, or other regulated professional advice.
2. Professional Context
The services offered under these Terms & Conditions are provided in a professional, business-to-business context. Clients engage with the services in their professional or leadership capacity, even where payment is made personally rather than through a company.
Nothing in these Terms & Conditions is intended to create a consumer relationship.
2. Nature of the Relationship
The relationship between the client (“you”) and me is that of an independent consulting-coach.

I work with you, not instead of you

I do not make decisions on your behalf

You remain fully responsible for all decisions, actions, and outcomes resulting from our discussions
You acknowledge that any decisions you take following our sessions are entirely your own responsibility.
3. No Responsibility for Decisions or Outcomes
You understand and agree that:

I do not guarantee specific results or outcomes

I am not responsible or liable for business, personal, financial, or organizational decisions you make

Any implementation of ideas, tools, or insights discussed is done at your own discretion and risk
You accept full responsibility for how you apply or do not apply the content of our sessions.
4. Confidentiality (Mutual)
From My Side
All information shared by you during our engagement will be treated as strictly confidential, unless:

Disclosure is required by law

You provide explicit written consent
From Your Side
You agree that:

All discussions, materials, tools, frameworks, methods, and insights shared during our engagement are confidential

They may not be disclosed to third parties without my prior written agreement
This mutual confidentiality obligation survives the end of our engagement.
5. Intellectual Property & Use of Materials
All tools, frameworks, methods, models, templates, materials, and know-how shared during our work together — whether verbal or written — remain my intellectual property, unless explicitly agreed otherwise in writing.
You agree that:

These materials are provided solely for your personal or internal professional use

They may not be reused, reproduced, shared, published, taught, commercialised, or adapted without my prior written consent
No license or transfer of intellectual property rights is granted unless explicitly stated.
6. Recording & Documentation
Sessions may not be recorded (audio, video, or otherwise) by either party without the explicit prior consent of both you and me.
Where a recording is agreed:

Recording will be made only with your prior informed consent

Any recording made by me will be used solely for my own professional development and quality improvement purposes

Recordings will not be shared with third parties

Recordings will be stored securely and deleted once no longer required for the stated purpose
Any notes taken during sessions are for professional or personal reference only and remain subject to the confidentiality and intellectual property provisions of these Terms.
7. Payment & Cancellations
Unless otherwise agreed in writing:

Fees are payable as agreed at the time of booking

Cancellations or rescheduling must be made within the applicable notice period

The cancellation and rescheduling policy is clearly displayed in the booking details at the time of booking

Missed sessions or cancellations made outside the stated notice period may be charged in full
8. Professional Boundaries
You acknowledge that:

The Services are professional in nature
-
They do not replace therapy, counselling, or mental health services
-
You are responsible for seeking appropriate professional support where required
9. Limitation of Liability
To the maximum extent permitted by law:

My total liability is limited to the fees paid for the specific service in question

I am not liable for indirect, consequential, or business losses
Nothing in these Terms limits liability where such limitation is not permitted by law.
10. Data Protection
Personal data is processed in accordance with my Privacy & Cookie Policy, which forms part of these Terms.
11. Governing Law and Jurisdiction
These Terms & Conditions and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms & Conditions.
